Terms of Service

1. Your agreement with us

These Terms of Service ("Terms") are an agreement between you and KeeperCircle ("KeeperCircle," "we," "us," or "our") that governs your use of KeeperCircle, including our websites, applications, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and U.S. availability

You must be at least 18 years old to create an account. The Service is designed for and offered to people located in the United States. If you use the Service from elsewhere, you do so on your own initiative and are responsible for compliance with local law.

3. The Service

KeeperCircle is a private, shared contact manager for households. Members of a household can store, organize, search, share within the household, review, and retire contact information and related household context. The Service is not an emergency service, a medical service, a legal records system, or a substitute for your phone's address book, and it does not monitor or verify the accuracy of information you store.

4. Your account and security

You agree to provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. Tell us promptly through our contact page if you believe your account has been accessed without authorization.

5. Households, members, and roles

The Service organizes information by household. Each household has an owner who controls billing and membership, and may have additional adult members and, on some plans, view-only members. Roles determine what each member can see and do. When you add information to a household, other members of that household can see and use it according to their roles. When a member is removed from a household, their access to that household's information ends. The household owner is responsible for deciding who belongs in the household and for managing member roles appropriately.

6. Your content and responsibilities

You and your household members control what information you store in the Service, including contact details about other people (for example, a teacher's school email or a plumber's phone number). You are responsible for that content. You agree that you will only store information about others that you have lawfully obtained and that you use for personal, household purposes, and that you will honor any request from a person to remove their information from your household's records where required by law. You will not store content that is unlawful, or that infringes anyone's rights.

7. Acceptable use

The Service is for personal, household use. You agree not to: (a) use the Service to build marketing or prospecting lists, or for any commercial resale of contact data; (b) harvest, scrape, or bulk-export data belonging to other households, or attempt to access any household you are not a member of; (c) use the Service to stalk, harass, or harm anyone; (d) probe, disable, overburden, or interfere with the Service or its security features, or attempt to access it by any means other than the interfaces we provide; (e) upload malicious code; (f) misrepresent your identity or affiliation; (g) resell, sublicense, or provide the Service to third parties; or (h) circumvent plan limits, billing, or access controls. We may suspend or terminate accounts that violate this section.

8. Plans and plan limits

We offer a free plan and a paid household plan. The free plan is supported by advertising and currently includes up to 100 contacts, up to 2 adult members, and up to 5 custom lists per household. The paid household plan removes advertising and includes up to 100,000 contacts, up to 4 adult members plus up to 3 view-only members, up to 1,000 custom lists, contact history, and the printable emergency sheet. All plans support up to 20 child/dependent profiles per household. Current plan features and pricing are described on our Pricing page. We may change free-plan limits or paid-plan features prospectively. If a change materially reduces a paid feature, we will provide advance notice.

9. Plan capacity on the paid plan

On the paid household plan, your household can store up to 100,000 contacts and up to 1,000 custom lists. Those numbers are hundreds of times more than any household is ever expected to need.

10. Billing, renewal, and cancellation

Paid subscriptions are billed at the household level and managed by the household owner. Payments are processed by Stripe, and we never receive or store your full card number. Your card statement will show KeeperCircle. Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time through the billing portal. Cancellation takes effect at the end of the current billing period, and your household then moves to the free plan and its limits. If a renewal payment fails, we will retry it and notify you; if payment is not resolved, we may suspend paid features or move the household to the free plan. If we change subscription prices, the new price applies at your next renewal after advance notice.

11. Refunds

Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, including when you cancel mid-period or downgrade. If you believe you were billed in error, contact us through our contact page and we will review it.

12. Changes to the Service

We are a small company building an evolving product. We may add, change, or remove features. We will not use a feature change to defeat the commitments in Section 9.

13. Your data, our license

You own the information you and your household store in the Service. You grant us a limited, non-exclusive license to host, store, process, transmit, and display that information solely as needed to operate, secure, support, and improve the Service and as described in our Privacy Policy. We do not sell your household's contact data, and we do not use it for advertising. You can export your household's contact data from within the Service.

14. Privacy

Our Privacy Policy explains what we collect and how we handle it, including our commitments about household contact data, advertising on the free plan, and analytics. It is part of these Terms.

15. Third-party services

The Service uses third-party providers, such as Stripe for payments and Google for optional contact import and, on the free plan, advertising. Your use of those providers' services may be subject to their own terms and privacy policies.

16. Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access if you materially violate these Terms, if required by law, or if we discontinue the Service (in which case we will provide reasonable advance notice and an opportunity to export your data). After account or household deletion, data is handled as described in the Privacy Policy, including the 30-day restore window for deleted records and retention of limited records where legally or operationally required.

17. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. In particular: the Service stores information that you and your household enter, including emergency contact information and medical or allergy notes; we do not verify it, and you are responsible for keeping it accurate and current. KeeperCircle is not an emergency service. In an emergency, call 911 or your local emergency number. Do not rely on the availability of the Service or of any printed output as your only source of critical information.

18. Limitation of liability

To the fullest extent permitted by law: (a) we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Service; and (b) our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the 12 months before the claim arose or $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

19. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service in violation of these Terms, or your violation of law or the rights of any person.

20. Governing law and disputes

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Connecticut, and you consent to their jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.

21. Changes to these Terms

We may update these Terms. If a change is material, we will notify you (for example, by email or an in-product notice) before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
